These Terms of Service ("Terms") govern your access to and use of Zaka Business Payments ("Zaka", "we", "us" or "our"), a merchant payment product operated by K202384165 t/a Fruitbox ("Fruitbox").

By registering a merchant account, or by accessing or using Zaka, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use Zaka.

If you accept these Terms on behalf of a business, you confirm that you are authorised to bind that business.

2. Definitions

  • "Customer" means a person who pays a Merchant using a card or other supported payment method.
  • "Payment Provider" means any third party that provides payment processing, SoftPOS, gateway or related services used with Zaka.
  • "Acquirer" means a bank or other authorised institution that acquires card transactions on behalf of Merchants.
  • "Card Scheme" means a card network such as Visa or Mastercard, together with its rules.
  • "Transaction" means a payment initiated by a Customer to a Merchant through Zaka.

3. Eligibility and merchant registration

To use Zaka you must be at least 18 years old, have full legal capacity, and operate a lawful business in South Africa.

You must provide complete, accurate and current information during registration and keep it up to date. We, our Payment Providers or Acquirers may request identity, business and bank account information to verify you and comply with Applicable Law, including anti-money laundering and know-your-customer requirements.

We may decline or delay any registration at our reasonable discretion, including where verification cannot be completed.

4. Merchant account responsibilities and security

You are responsible for all activity on your account. You must keep your login details confidential, use a secure device, and notify us promptly if you suspect unauthorised access.

You must not share your account with, or allow it to be used by, any unauthorised person.

5. Use of Zaka Business Payments

Zaka provides software that enables Merchants to initiate payment acceptance on a compatible mobile device and to view transaction records. Zaka is not a bank and does not hold deposits.

You may use Zaka only for lawful business purposes, in accordance with these Terms, Applicable Law, and the rules of any relevant Payment Provider, Acquirer or Card Scheme.

6. Contactless payments and transaction processing

Contactless card acceptance through Zaka is made available through third-party Payment Providers. The availability of payment methods may depend on your device, location, the relevant Payment Provider and verification status.

Transactions are authorised by the Customer's card issuer and processed by the relevant Payment Provider and Acquirer. We do not guarantee that any Transaction will be approved.

7. Third-party payment providers and acquiring partners

Payment processing, acquiring and related regulated financial services are provided by third parties, not by Fruitbox. You may be required to accept separate terms with those third parties, and those terms will govern their services.

We are not responsible for the acts, omissions or service availability of third parties, except to the extent required by Applicable Law.

8. Merchant settlement arrangements

Settlement of Transaction funds is performed by the relevant Payment Provider or Acquirer to the bank account you nominate. Settlement timing and conditions depend on the applicable provider agreements, Card Scheme rules, verification status and risk reviews.

Funds may be delayed, withheld or offset where required by provider agreements, Card Scheme rules, suspected fraud, disputes or Applicable Law.

9. Transaction disputes, refunds, reversals and chargebacks

Customers may dispute Transactions through their card issuer. Disputes and chargebacks are handled under Card Scheme rules and the processes of the relevant Payment Provider and Acquirer. We cannot guarantee any outcome.

You are responsible for your own refund policy, for providing evidence when requested, and for any amounts reversed or charged back on your Transactions, as determined under the applicable rules.

10. Fees and charges

Any fees that apply to your use of Zaka or to the processing of Transactions will be disclosed to you before they apply. Payment Providers and Acquirers may charge their own fees under their separate terms.

We will not charge you any Zaka fee that has not been communicated to you in advance.

11. Fraud prevention and prohibited activities

You must not use Zaka for any fraudulent, unlawful or prohibited purpose, including:

  • processing Transactions that do not reflect a genuine sale of goods or services;
  • money laundering, terrorist financing or sanctions evasion;
  • selling illegal goods or services, or goods restricted by Card Scheme rules;
  • splitting Transactions to avoid limits, or processing your own card for cash;
  • interfering with, reverse-engineering or attempting to gain unauthorised access to Zaka.

We and our partners may monitor activity, request information, and suspend Transactions or accounts to prevent fraud or comply with Applicable Law.

12. Merchant obligations

  • Clearly communicate prices, refund and return terms to Customers.
  • Provide receipts for Transactions.
  • Keep accurate records and retain them as required by law.
  • Comply with consumer protection, tax and other laws applicable to your business.
  • Cooperate with reasonable requests relating to verification, disputes and investigations.

13. Privacy and personal information (POPIA)

We process personal information in accordance with POPIA and our Privacy Policy. Personal information may be shared with Payment Providers, Acquirers and service providers where necessary to provide Zaka, prevent fraud and meet legal obligations.

Where you collect Customers' personal information, you are responsible for doing so lawfully.

14. Intellectual property

The Zaka name, logo, software, content and related materials are owned by or licensed to Fruitbox. We grant you a limited, non-exclusive, non-transferable and revocable right to use Zaka for its intended purpose while your account is active. You may not use our brand without our prior written consent.

15. Service availability and technical interruptions

We aim to keep Zaka available but do not guarantee uninterrupted or error-free service. Zaka may be unavailable due to maintenance, updates, device or network issues, or interruptions at Payment Providers, Acquirers or Card Schemes. Where practical, we will give notice of planned maintenance.

16. Account suspension and termination

You may close your account at any time by contacting us. We may suspend or terminate your account, or restrict features, where you breach these Terms, where we reasonably suspect fraud or unlawful activity, where required by a Payment Provider, Acquirer, Card Scheme or Applicable Law, or where we stop offering Zaka.

Termination does not affect obligations relating to Transactions processed before termination, including disputes and chargebacks.

17. Warranties and limitation of liability

To the extent permitted by Applicable Law, Zaka is provided "as is" and "as available", and we exclude warranties not expressly stated in these Terms.

To the extent permitted by Applicable Law, Fruitbox is not liable for indirect, special or consequential loss, loss of profit, or loss caused by third parties, Customer card issuers, network or device failures, or events beyond our reasonable control.

Nothing in these Terms limits or excludes any liability or right that cannot be limited or excluded under South African law, including the Consumer Protection Act 68 of 2008 where it applies, or liability for gross negligence or wilful misconduct.

18. Complaints and dispute resolution

If you have a complaint, please contact us using the details below. We will acknowledge your complaint and try to resolve it fairly and within a reasonable time.

Complaints about Transactions processed by a Payment Provider or Acquirer may need to be referred to that party's complaints process. If a dispute is not resolved, either party may pursue remedies available under Applicable Law.

19. Changes to the Terms

We may update these Terms from time to time. We will publish the updated Terms on this page with a new "last updated" date and, for material changes, give reasonable notice. Continued use of Zaka after changes take effect means you accept the updated Terms.

20. Governing law

These Terms are governed by the laws of the Republic of South Africa. Subject to any right you have to approach another forum under Applicable Law, the courts of South Africa have jurisdiction.
